The trustees of charities need to act independently. When the trustee is the NHS body, this means that decisions need to be made by a representative committee, usually the charitable funds committee, independently of the decisions being made by the NHS board. 

Spending any charitable fund needs to have a public benefit, which means that although they are not direct recipients, NHS patients need to get the benefit of expenditure on NHS staff.

Expenditure also needs to be in accordance with the charitable objects of the fund - in the case of NHS charities, this will usually relate to the provision of healthcare.
